Terence F. Brennan

The BRENNAN LEGAL GROUP PLLC is a business and intellectual property transactions firm that focuses on working with entrepreneurs, emerging and mid-size businesses and investors to commercialize innovation and reward capital risk. The firm offers practical and creative legal advice to many technology, digital media, simulation, medical device, healthcare and manufacturing companies with respect to general corporate, financing, intellectual property, leasing, franchising, healthcare, entertainment and private equity transactions.

Prior to establishing the Brennan Legal Group PLLC, Terry Brennan was a partner at two prominent national law firms, and also, was the General Counsel of IBAX Healthcare Systems, an electronic medical records joint venture between IBM and Baxter Healthcare Corp, a position through which he came to Orlando in 1994.

Terry graduated from Georgetown University Law Center, where he served as an editor of the Georgetown Law Journal, and then practiced for many years with a prominent Wall Street law firm. He has been an early and significant leader in Central Florida's economic development, business incubation, technology, life science, and private equity communities. Terry is a member of the New York and Florida Bars, and also, is active in many community, economic development and charitable groups.

  • Represented $100 million parking management company in intellectual property asset sale to public company and subsequent joint venture
  • Represented semi-conductor company in sale of assets and licensing of certain patented inventions to manufacturing joint venture
  • Represented publicly listed company in initial and secondary public offering of securities
  • Advised Swedish investor in $5 million "B" round private placement of biotechnology company preferred stock
  • Represented specialized pharmacy services company in $3 million initial round financing and product joint venture
  • Represented major Florida public university in joint venture with publicly traded health care products company in the development of skin cancer treatment medication
  • Represented network management software company in $10 million issuance of preferred securities and in subsequent acquisition
  • Advised European venture fund in convertible note financing of environmental products company
  • Represented health information system company in $300 million asset sale transaction and private placement of securities
  • Represented leading Florida hospital/health system provider in the acquisition of system-wide hardware , network management and database software, and development, licensing and support of patient information and patient care systems
  • Advised many technology development and information systems clients in the development, protection, licensing and commercialization of intellectual property assets
  • Advised start up manufacturing company in the corporate structuring, financing and successful international commercialization of patented product
  • Representing healthcare information systems company in copyright infringement of software litigation
  • Representing commodities broker in breach of contract litigation
  • Represented public school districts in negotiation of information systems agreements and in litigation against database provider with respect to school administrative software
